Reseller Agreement

DRAFT for attorney review. Not in force until approved by counsel. Version 2026-10-23. Placeholders in [brackets] are for Gabriel or counsel to fill in.

This Reseller Agreement ("Agreement") is between [Legal entity name], doing business as Wholesale Peptides ("we", "us"), and the business named in the approved reseller application ("Reseller", "you"). It applies to every order you place with us. You accept it when you submit a reseller application and again each time you place an order.

1. What we sell

1.1 We sell research peptides and related laboratory supplies ("Products") in sealed boxes, for laboratory research use only.

1.2 Products are not drugs, foods, dietary supplements, cosmetics or medical devices. They are not for human or veterinary use, and they are not intended to diagnose, treat, cure or prevent any disease.

1.3 We do not provide medical, dosing, scientific or legal advice, and nothing on our website or in our communications is advice of that kind.

2. Becoming a reseller

2.1 You must apply, and we approve or decline each application at our discretion. Approval requires that the person applying is 21 or older, is authorized to act for the business, and that we can verify the business (for example by state registration, EIN, or NPI number for licensed professionals).

2.2 Approved accounts are placed in a pricing tier. We may change your tier based on your order history, and we may suspend or close an account under Section 9.

2.3 You must keep your account details accurate and keep your login secure. Orders placed through your account are your responsibility.

3. Resale rules

You may resell Products only as research materials, and only if you follow all of these rules:

3.1 Research use only. Every product page, listing, ad, social post, email and package insert you publish for a Product must clearly say: "For research use only. Not for human or veterinary use."

3.2 No human-use claims. You will not state or imply that a Product is safe or intended for people or animals. You will not publish dosing, injection, reconstitution-for-use, weight, appetite, performance, anti-aging, healing or other health claims, and you will not use before-and-after images, testimonials about personal use, or images of people using Products.

3.3 Labels intact. You will keep vial labels, lot numbers and research-use notices intact and legible. You will not relabel, repackage, compound, dilute or rebrand Products yourself, and you will not present them as anything other than research materials. Products made under our private label program may carry your brand, but only on labels and packaging we produce or approve, and every label must keep the lot number and the research-use notice.

3.4 Restricted platforms. You will not list, sell or advertise Products on marketplaces or ad platforms whose policies prohibit research chemicals, including Amazon, eBay, Etsy, Walmart Marketplace, Meta (Facebook and Instagram) ads and Google Shopping.

3.5 Our name and marks. You may not use our name, logo, seal or certificates of analysis (COAs) in a way that suggests we endorse your business or your claims. You may share a COA only to show the test results for the lot you sold.

3.6 Buyers. You will sell only to buyers you reasonably believe are adults acquiring Products for lawful research purposes. You will not knowingly sell to anyone who intends human or animal use.

3.7 Records. You will keep records of your sales (buyer, date, Product, lot) for at least [3] years and share them with us if a regulator, carrier or court requests them in connection with our Products.

4. Compliance with law

4.1 You are responsible for knowing and following all federal, state and local laws that apply to buying, storing, advertising and reselling Products where you operate, including any state rules on research chemicals and any licensing or registration your business needs.

4.2 You will not export Products outside the United States or resell them to anyone you know or suspect will export them.

4.3 If a law, regulator or carrier restricts a Product in your state, you will stop selling it there and tell us.

5. Orders, pricing and payment

5.1 Prices, tiers, order minimums and shipping rates are set out in the Wholesale Terms and shown in your account. We may change prices with notice in your account; prices for an order are fixed when you pay.

5.2 Payment is due in full at checkout. We may decline or cancel an order before shipment, with a full refund, for any reason, including suspected misuse or breach of this Agreement.

6. Shipping and blind dropship

6.1 Orders ship from our US warehouses to US addresses only.

6.2 If you choose blind dropship, we ship to your buyer in plain packaging with no Wholesale Peptides branding and no prices. You remain responsible for your buyer's compliance with Section 3.6 and for any taxes on your sale.

7. Compliance reviews

7.1 We may review your public listings, ads, websites and social accounts that mention Products, and we may ask you to change or remove anything that breaks Section 3.

7.2 You will make requested changes within [5] business days. If you refuse, or if a breach is serious, we may suspend your account under Section 9.

8. Warranties, liability and indemnity

8.1 Each Product lot is tested by an independent laboratory, and the COA we publish reflects that test. Beyond matching the published COA at the time of shipment, Products are provided "as is", without other warranties, express or implied, including merchantability and fitness for a particular purpose.

8.2 To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, and our total liability for any order is limited to the amount you paid for that order.

8.3 You will indemnify and defend us, our owners and staff against any claims, losses, fines and costs (including reasonable legal fees) arising from your resale, marketing, labeling, handling or use of Products, or your breach of this Agreement or the law.

9. Suspension and termination

9.1 Either party may end this Agreement at any time by written notice (email is enough).

9.2 We may suspend or close your account immediately, and cancel open orders with a refund, if we believe you have broken Section 3 or 4, given us false information, or exposed us to legal risk.

9.3 Sections 3.7, 4, 8 and 10 continue after this Agreement ends.

10. General

10.1 This Agreement is governed by the laws of the State of [State], without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts in [County, State].

10.2 We may update this Agreement by posting a new version. When we do, you will be asked to accept it before your next order. Each acceptance is recorded with the date, time and IP address.

10.3 This Agreement, the Wholesale Terms and your approved application are the entire agreement between us about reselling Products. If any part is unenforceable, the rest still applies.

10.4 Questions about this Agreement or compliance: [support email].
